This Service Level Agreement (“Agreement”) governs your use of the RZ Royals Travels B2B travel platform (“Platform”). By accessing, registering, or using the Platform, you (“Client”) acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement.
This Agreement is between:
RZ Royals Travels LLC, a Limited Liability Company incorporated under the laws of New York, United States of America, with its registered office at 74-09 37th Ave Suite 206, Jackson Heights, New York, 11372 (“RZ Royals Travels”),
and
You (the “Client”), being the individual or business entity registering for or using the Platform.
RZ Royals Travels and Client may be referred to individually as a “Party” and collectively as the “Parties.”
1. PURPOSE OF AGREEMENT
The purpose of this Agreement is to define the service levels, responsibilities, rights, and obligations associated with the Client’s use of the RZ Royals Travels B2B travel platform (“Platform”), which provides access to global hotel and flight inventory through GDS systems, supplier APIs, and wholesale travel networks.
Under this Agreement, RZ Royals Travels shall act as a travel inventory supplier and technology partner, enabling the Client to access competitive hotel and airfare pricing for resale to its own customers.
2. SERVICE SCOPE
RZ Royals Travels shall provide the Client with access to the following services:
• Access to the B2B booking dashboard for hotel and flight reservations
• Access to real-time pricing and availability from global suppliers
• Booking confirmation and ticket issuance functionality
• Platform-based reservation management tools
• Access to wholesale and negotiated supplier pricing
• Technical platform support
RZ Royals Travels shall act as the supplier, enabling the Client to operate and scale its travel sales business efficiently.
3. PLATFORM ACCESS & AUTHORIZATION
3.1 Account Access
RZ Royals Travels shall provide the Client with secure login credentials to access the Platform.
3.2 Authorized Use
The Client agrees that Platform access is granted solely for legitimate travel business purposes, including:
• Booking flights and hotel accommodations
• Managing customer reservations
• Reselling travel services to its customers
The Client shall not provide unauthorized third parties with access to the Platform.
4. SERVICE AVAILABILITY
RZ Royals Travels shall use commercially reasonable efforts to maintain:
• 24/7 Platform availability, excluding scheduled maintenance
• Real-time access to supplier inventory
• Booking confirmation functionality
5. BOOKING CONFIRMATION
RZ Royals Travels shall ensure:
• Booking confirmations are issued promptly after successful reservation
• Electronic tickets (E-tickets) are issued through authorized supplier systems
• Booking confirmations contain complete reservation details
The Client acknowledges that final booking confirmation is subject to supplier availability and external GDS systems.
6. FINANCIAL RESPONSIBILITIES
6.1 Pricing
All pricing provided through the Platform is based on RZ Royals Travels net rate.
6.2 Payment Responsibility
The Client agrees to pay all amounts due for confirmed bookings in accordance with agreed payment terms.
Failure to remit payment may result in suspension or termination of Platform access.
7. CLIENT RESPONSIBILITIES
The Client agrees to:
• Use the Platform in good faith and for legitimate business purposes
• Maintain accurate customer information
• Comply with all applicable travel industry regulations
• Honor bookings made through the Platform
• Provide accurate billing and payment information
The Client is fully responsible for all bookings made under its account.
8. BOOKING INTEGRITY POLICY
To protect supplier relationships and maintain pricing integrity, the Client agrees NOT to:
• Excessively cancel confirmed bookings without valid business reasons
• Engage in speculative, test, or fraudulent bookings
• Book inventory without intent to complete legitimate customer transactions
• Abuse supplier pricing or exploit system errors
Excessive cancellation activity, defined as cancellation rates exceeding commercially reasonable thresholds or exhibiting abusive patterns, may result in suspension or termination of Platform access. RZ Royals Travels reserves the right to monitor booking activity to protect supplier integrity.
9. SCOPE OF PARTNERSHIP
RZ Royals Travels shall serve as a technology and inventory partner to the Client.
This partnership enables the Client to:
• Access competitive global travel inventory
• Expand its travel business
• Improve operational efficiency
Nothing in this Agreement shall create a joint venture, employment, or agency relationship.
10. SUPPORT RESPONSIBILITIES
RZ Royals Travels shall provide:
• Booking support
• Technical support for platform-related issues
• Assistance with booking confirmations and system inquiries
Support response time target: Within 24 business hours
11. DATA SECURITY & CONFIDENTIALITY
Both Parties agree to maintain the confidentiality of:
• Customer information
• Pricing data
• Supplier information
• Business operations data
Neither Party shall disclose confidential information without written consent.
12. INTELLECTUAL PROPERTY
• All intellectual property, software, APIs, systems, and documentation provided by RZ Royals Travels shall remain its exclusive property
• Client is granted a non-transferable license to use the Platform solely for the purposes of this Agreement
• No ownership rights are transferred under this Agreement
13. CONFIDENTIALITY
Both Parties agree to keep confidential all proprietary, technical, commercial, and financial information disclosed during the course of this partnership, unless disclosure is required by law.
14. INDEMNIFICATION
Each Party agrees to indemnify and hold harmless the other Party against claims, losses, or damages arising from its own negligence, misconduct, or breach of this Agreement.
RZ Royals Travels shall not be liable for:
• Airline schedule changes
• Hotel overbookings by suppliers
• Supplier system outages
• External GDS system failures
RZ Royals Travels acts as a supplier and platform intermediary.
15. DISPUTE RESOLUTION
Any dispute arising out of this Agreement shall first be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration before litigation.
16. TERM & TERMINATION
This Agreement shall remain in effect until terminated by either Party.
Either Party may terminate this Agreement:
• With 30 days written notice, or
• Immediately in the event of abuse, fraud, or breach
Upon termination, Platform access shall be revoked.
17. AMENDMENTS
This Agreement may be amended at any time. Continued use of the Platform after updates constitutes acceptance of the revised terms.
18. GOVERNING LAW
This Agreement shall be governed by the laws of the United States, unless otherwise agreed in writing.
19. ENTIRE AGREEMENT
This Agreement constitutes the complete understanding between the Parties and supersedes all prior agreements.
